These Terms of Service govern your use of the Easier Accounting client portal and connected services, including our integration with QuickBooks Online. Please read them carefully. By using our services, you agree to be bound by these terms.

1. Acceptance of Terms
This Agreement is entered into between you (the “Client,” “you,” or “your”) and Easier Accounting (“Easier Accounting,” “we,” “us,” or “our”), a professional accounting firm based in the State of Utah. By accessing or using our client portal, connecting your QuickBooks Online account, or otherwise engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
If you are entering into this Agreement on behalf of a business entity, you represent that you have the authority to bind that entity to these terms, and “you” refers to that entity.
If you do not agree with any part of these Terms, you must not use the services.
2. Eligibility and Account Access
Access to our client portal and integrated services is limited to existing clients of Easier Accounting who have an active engagement for accounting, bookkeeping, tax, payroll, or related professional services. Account credentials are issued by Easier Accounting and may not be shared, transferred, or resold.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your credentials or any other breach of security.
3. Description of Services
Easier Accounting provides a client portal and internal systems that support the delivery of professional accounting services. These may include, but are not limited to:
- Secure document exchange and storage
- Integration with QuickBooks Online and related accounting software
- Automated data synchronization and bookkeeping workflow tools
- AI-assisted transaction categorization and related automations
- Communication and scheduling with Easier Accounting staff
- Access to financial reports and deliverables
These services are provided in support of, and subject to the terms of, your separate engagement letter with Easier Accounting. In the event of any conflict between this Agreement and your engagement letter regarding the professional services themselves, the engagement letter controls.
4. QuickBooks Online Integration
Our portal integrates with Intuit’s QuickBooks Online (“QBO”) service. To use integrated features, you must authorize Easier Accounting to connect to your QBO company file through Intuit’s standard OAuth authorization flow.
What the Integration Accesses
When you authorize the integration, we are granted permission to read and, where expressly authorized by you, write to the following types of data within your QBO company file:
- Chart of accounts
- Customer and vendor records
- Transactions including invoices, bills, purchases, payments, and journal entries
- Company information such as address, fiscal year settings, and tax identifiers
- Financial reports including profit and loss, balance sheet, and aging reports
How We Use This Access
We use QBO data solely to perform the bookkeeping, accounting, and related services you have engaged us to provide. Specifically, we may read your QBO data to review transactions, produce financial reports, prepare tax returns, generate 1099 filings, reconcile accounts, and assist with month-end close procedures. Write-back actions (such as posting a categorization) occur only after explicit bookkeeper review and approval through our internal workflow.
Your Control
You may revoke the QBO connection at any time through your QuickBooks Online settings or by contacting us directly. Upon revocation, we will cease making API calls to your QBO company file. Data previously retrieved from QBO that remains necessary for the performance of professional services or required to be retained for tax, legal, or regulatory purposes may continue to be stored in accordance with our Privacy Policy.

5. Artificial Intelligence and Automation
Easier Accounting uses artificial intelligence and automation tools to assist our professional staff in delivering accounting services. By using our services, you acknowledge and consent to the following.
How AI Is Used
We use AI-assisted tools to help with tasks including transaction categorization, anomaly detection, data summarization, vendor matching, and routine workflow automation. These tools are operated under the supervision of qualified Easier Accounting staff, and their outputs are treated as suggestions subject to human review and approval before they are applied to your books or any deliverables.
AI Service Providers
Our AI tooling is provided by trusted third-party model providers, currently including Anthropic (Claude) and may include other reputable providers in the future. When we send your data to these providers for processing:
- We use their API services, not their consumer products
- Under their API terms, your data is not used to train their models
- Data transmission occurs over encrypted connections
- We send only the minimum data necessary for the specific task
Your Rights Regarding AI
You have the right to request information about how AI is used in connection with your account and to request that specific AI-assisted workflows be disabled for your engagement. Please contact us using the information provided below to make such requests.
Human Oversight
Professional judgments, tax filings, financial statements, and similar deliverables are reviewed and approved by qualified Easier Accounting staff. AI is used to support, not replace, the professional judgment of our accountants, bookkeepers, and tax preparers.
AI helps our bookkeepers work faster and more consistently. A human always reviews AI suggestions before they affect your books or your taxes. You can ask us to turn AI assistance off for your account at any time.

6. Acceptable Use
You agree to use our services only for lawful purposes and in accordance with this Agreement. You specifically agree not to:
- Use the services to violate any applicable law, regulation, or third-party right
- Upload or transmit any content that is fraudulent, misleading, malicious, or unlawful
- Attempt to gain unauthorized access to our systems, other clients’ data, or any connected third-party services
- Reverse engineer, decompile, or attempt to extract the source code of our systems
- Interfere with or disrupt the integrity or performance of our services
- Use the services to send unsolicited communications or spam
- Impersonate any person or misrepresent your affiliation with any person or entity
7. Your Data and Content
You retain all ownership rights in the data and content you provide to us or that we retrieve on your behalf (collectively, “Client Data”). By using our services, you grant Easier Accounting a limited license to access, store, process, and transmit Client Data solely as necessary to provide the services described in this Agreement and your engagement letter.
Our handling of Client Data is governed by our Privacy Policy, which is incorporated into this Agreement by reference. You are responsible for ensuring that any Client Data you provide does not violate the rights of third parties and that you have all necessary authorizations to share such data with us.
8. Confidentiality
Easier Accounting is bound by the confidentiality obligations applicable to professional accountants and tax preparers under applicable law, including IRC Section 7216 where applicable. We will treat your financial information and records as confidential and will not disclose them except:
- As necessary to perform the services you have engaged us to provide
- With your prior written consent
- As required by law, court order, or valid regulatory request
- In response to subpoena or similar legal process, where we will notify you unless prohibited by law
You agree that our internal systems, documentation, processes, and proprietary tools are our confidential information, and you will not disclose or exploit them for purposes outside of your use of our services.
9. Fees and Engagement Terms
Fees for professional services are governed by your separate engagement letter with Easier Accounting. Access to the client portal and integrated tools described in this Agreement is provided as part of your engagement and is not separately priced unless explicitly stated.
If your engagement with Easier Accounting ends or is terminated, your access to the portal and integrated services will be wound down as described in Section 14.
10. Intellectual Property
All rights, title, and interest in and to our client portal, internal systems, software, templates, workflow designs, documentation, and associated branding are and remain the exclusive property of Easier Accounting and its licensors. Nothing in this Agreement grants you any right or license to use our intellectual property except the limited, revocable, non-exclusive right to use the services during the term of your engagement.
Feedback or suggestions you provide regarding our services are not confidential to you, and we may use such feedback without obligation or compensation.
11. Disclaimers
Our client portal and integrated services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Easier Accounting disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the services will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy or reliability of third-party data, including data retrieved from QuickBooks Online or other integrated systems. You remain responsible for verifying the accuracy of your financial records.
This disclaimer applies only to the portal and integrated services themselves. The professional accounting services you have engaged us to provide are subject to the standards of care and professional responsibility set forth in your engagement letter and applicable professional standards.
12. Limitation of Liability
To the fullest extent permitted by law, Easier Accounting’s total liability under this Agreement for any claim arising from or relating to the use of our client portal or integrated services shall not exceed the fees paid by you to Easier Accounting for the professional services giving rise to the claim during the twelve (12) months immediately preceding the event that caused the claim.
In no event will Easier Accounting be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.
This limitation does not apply to claims arising out of our professional services under our engagement letter, which remain governed by that letter and applicable professional standards. It also does not limit liability to the extent prohibited by applicable law.
13. Indemnification
You agree to indemnify and hold harmless Easier Accounting, its owners, employees, and contractors from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your violation of this Agreement; (b) your violation of any applicable law or third-party right; or (c) your misuse of the services. This indemnification obligation does not apply to claims arising from our own negligence or willful misconduct.
14. Termination and Disconnection
By You
You may terminate your use of the client portal at any time by notifying us in writing. You may disconnect the QuickBooks Online integration at any time through your QBO settings or by contacting us. Upon disconnection, we will cease making API calls to your QBO account.
By Easier Accounting
We may suspend or terminate your access to the portal and integrated services if: (a) your professional engagement with us ends for any reason; (b) you materially breach this Agreement; (c) continued access would violate applicable law or professional standards; or (d) upon thirty (30) days’ notice for any other reason.
Effect of Termination
Upon termination, your access to the portal will be revoked. Data we retain after termination will be handled in accordance with our Privacy Policy and applicable records retention requirements. You may request a copy of your data or its deletion subject to the limitations described in the Privacy Policy.
Surviving Provisions
Sections regarding confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, and governing law will survive termination of this Agreement.
15. Changes to These Terms
We may update this Agreement from time to time to reflect changes in our services, legal or regulatory requirements, or business practices. When we make material changes, we will notify you by email or through the client portal and update the “Last Updated” date above. Your continued use of the services after notice constitutes acceptance of the updated terms. If you do not agree with the changes, your remedy is to discontinue use of the services and contact us to discuss disconnection.
16. Governing Law and Disputes
This Agreement is governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles. The federal and state courts located in Washington County, Utah, shall have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, and the parties consent to personal jurisdiction in such courts.
Before initiating any formal legal proceeding, the parties agree to attempt in good faith to resolve the dispute through direct communication for a period of at least thirty (30) days.
17. Miscellaneous Provisions
Entire Agreement
This Agreement, together with your engagement letter and our Privacy Policy, constitutes the entire agreement between you and Easier Accounting regarding your use of the portal and integrated services and supersedes all prior discussions and agreements on the subject.
Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.
No Waiver
Our failure to enforce any right or provision of this Agreement will not be considered a waiver of that right or provision.
Assignment
You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of our assets.

Notices to you may be sent to the email address associated with your account or through the client portal. Notices to us should be sent to the contact information below.
