Easier Accounting provides bookkeeping, tax preparation and planning, payroll, entity formation, and business advisory services to small businesses in the United States.Nothing on this website is legal advice, and Easier Accounting is not a law firm.Any paid engagement is governed by a separate signed engagement letter. If it conflicts with these Terms, the engagement letter controls.
Your Information
You must be at least 18 and have authority to enter these Terms on behalf of yourself and any business you represent.You agree to provide accurate, complete, and current information. We rely on what you provide without independent verification.The taxpayer of record remains legally responsible for the content of every return, regardless of who prepares it. Review before you sign.
Fees and Third Parties
Fees are set out in your engagement letter or written proposal. Invoices are due upon receipt unless we agree otherwise in writing.Late balances may accrue interest at the lesser of 1.5 percent per month or the maximum rate permitted by law. Professional fees are earned as work is performed and are non-refundable.The Services may connect with third-party platforms such as QuickBooks, Gusto, and Xero. Your use of those platforms is governed by their own terms.
Intellectual Property
Our website, its design, text, graphics, logos, and software are owned by Easier Accounting or its licensors.Work product prepared under an engagement letter (returns, reports, schedules) is yours to use for the intended business purpose. Templates, checklists, and internal tools remain ours.You retain ownership of the information and records you provide. You grant us a limited license to use those materials to perform the Services.
Acceptable Use and Disclaimers
You agree not to use the Services to violate any law, reverse-engineer the site, upload malware, or misrepresent your affiliation.The Services are provided as-is and as-available. To the maximum extent permitted by law, we disclaim all warranties.General information on this website is not a substitute for professional advice tailored to your situation.
Limitation of Liability
To the maximum extent permitted by law, Easier Accounting is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business interruption.Our aggregate liability for all claims will not exceed the greater of (a) fees you actually paid to Easier Accounting for the specific engagement giving rise to the claim during the twelve months preceding the event, or (b) one hundred U.S. dollars.This limitation applies regardless of the legal theory: contract, tort, statute, or otherwise.
Indemnification and Governing Law
You agree to indemnify Easier Accounting from third-party claims arising out of your breach of these Terms, your violation of law, or inaccurate or unlawful information you supplied.These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles.For disputes not subject to arbitration, the parties consent to exclusive jurisdiction and venue in Washington County, Utah.
Binding Arbitration
Any dispute arising out of these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer or Commercial Rules.Arbitration takes place in Washington County, Utah, or another location the parties agree to. The award may be entered in any court of competent jurisdiction.This provision does not prevent either party from bringing an individual action in small-claims court, or from seeking injunctive relief for intellectual property or confidentiality breaches.
Class Waiver and Opt-Out
Each party may bring claims against the other only in an individual capacity, not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.You may opt out of arbitration and this class waiver by sending written notice to hello@easieraccounting.com within 30 days of first accepting these Terms.Include your full name, mailing address, and a clear statement that you are opting out. Opting out does not affect any other provision.
Changes and Termination
We may update these Terms and will change the Last Updated date. Material changes will be announced with reasonable notice. Continued use after the effective date is acceptance.We may suspend or terminate your access to the Services at any time. Sections on payment, indemnification, disclaimers, liability limits, governing law, and arbitration survive termination.If any provision is unenforceable, the rest remain in force. You may not assign these Terms without our consent. We may assign in a merger, acquisition, or sale of assets.
